Chapter I: Definitions

Definitions§

1.

In this Law –

"interested party", "relative" and "control" – as defined in the Second Authority for Television and Radio Law, 5750-1990;

"financial statements" – a balance sheet, a profit and loss statement and a cash flow statement, including the notes thereto;

"local production" – a television programme the majority of whose creators, the majority of whose performers, the majority of the technical-engineering crew that took part in its production and the majority of the production crew are residents of Israel who reside therein on a permanent basis, and which was produced for a primary Israeli target audience in Hebrew, Arabic, Russian or another language approved in advance by the Director General, excluding news broadcasts, sports programmes and current affairs programmes; in this definition, "majority" – at least 75%;

"own local production" – a local production produced by the Israeli Broadcasting Corporation;

"purchased local production" – a local production that is not one of the following:

(1)an own local production;
(2)a production of a governmental institution;
(3)a production of another body that broadcasts, under any law, television broadcasts to the public or to a part thereof, or a production of a corporation in which such another body is a controlling shareholder or an interested party, directly or indirectly;

"the Search Committee" – the committee appointed under section 29;

"the Economics Committee" – the Economics Committee of the Knesset;

"intellectual property rights" – including copyright under the Copyright Law, and performers' and broadcasters' rights under the Performers' and Broadcasters' Rights Law;

"the Companies Law" – the Companies Law, 5759-1999;

"the Government Companies Law" – the Government Companies Law, 5735-1975;

"the Budget Foundations Law" – the Budget Foundations Law, 5745-1985;

"the Commercial Unit" – as its meaning in section 78;

"the publication date" – the date of publication of this Law;

"the commencement date" – the date of commencement of this Law under section 92;

"the Council" – the Council of the Israeli Broadcasting Corporation appointed under section 9;

"the Director General" – the Director General of the Israeli Broadcasting Corporation appointed under section 38;

"office holder", in the Israeli Broadcasting Corporation – the Director General, a deputy or assistant to the Director General, as well as any other manager directly subordinate to the Director General, and a member of the Council;

"wage cost" – any payment in respect of employment, including employer contributions, mandatory or voluntary payments borne by the employer in respect of the employment, expense reimbursements paid to an employee that constitute income from employment under section 2(2) of the Income Tax Ordinance [New Version], payments in respect of termination of employment, a vehicle and the costs of its use, and any other benefit or payment, whether paid on a monthly basis or otherwise;

"the Government Companies Authority" – the Government Companies Authority as its meaning in the Government Companies Law;

"the broadcasts" – radio broadcasts and television broadcasts provided to the public under this Law, as well as services directly ancillary thereto, including video or audio services, two-way and interactive broadcasts;

"news broadcasts" – broadcasts of news editions and news magazines;

"the Israeli Broadcasting Corporation" – the Israeli Broadcasting Corporation established under section 2;

"the Minister" – the Minister of Communications.

Chapter II: Establishment of the Israeli Broadcasting Corporation and Its Functions

Establishment of the Israeli Broadcasting Corporation§

2.

The Israeli Broadcasting Corporation is hereby established.

Legal Personality of the Israeli Broadcasting Corporation§

3.

The Israeli Broadcasting Corporation is a legal person, capable of assuming any obligation, right and action consistent with its character and nature as an incorporated body.

Organs of the Israeli Broadcasting Corporation§

4.

The organs of the Israeli Broadcasting Corporation are the Council and the Director General.

Registered Office of the Israeli Broadcasting Corporation§

5.

The registered office of the Council and of the management of the Israeli Broadcasting Corporation shall be in Jerusalem; the majority of the broadcasts of the Israeli Broadcasting Corporation shall be broadcast from Jerusalem no later than the 18th of Sivan 5778 (1 June 2018); for the purposes of this section, "Jerusalem" – as its meaning in section 5 of Basic Law: Jerusalem, Capital of Israel.

Israeli Broadcasting Corporation – Audited Body§

6.

The Israeli Broadcasting Corporation is an audited body as its meaning in the State Comptroller Law, 5718-1958 [Consolidated Version].

Functions of the Public Broadcasting Corporation§

7.
(a)The Israeli Broadcasting Corporation shall carry on broadcasts and shall provide various types of content by visual, audio and written means, on television, on radio and on the Internet.
(b)The content provided by the Israeli Broadcasting Corporation shall be independent, shall be addressed to all citizens and residents of the State of Israel, shall reflect and document the State of Israel's being a Jewish and democratic state, its values and the heritage of Israel, and shall give fair, equal and balanced expression to the diversity of views and opinions prevalent among the public in Israel.
(c)The Israeli Broadcasting Corporation shall provide news content and current affairs content, including in the Arabic language and on the subject of the heritage of Israel, all in a professional, fair, responsible, independent, critical, unbiased and reliable manner, with transparency and while exercising journalistic judgment and fidelity to factual truth and to the duty of reporting to the public.
(d)The Israeli Broadcasting Corporation shall provide diverse content directed at children and youth, and shall promote the creation of content with values, educational and instructional content for children and youth.
(e)The Israeli Broadcasting Corporation shall provide content directed at the diverse populations and streams within Israeli society, including broadcasts in the Hebrew language, broadcasts in the Arabic language for the Arab population in Israel, and broadcasts in additional languages prevalent in Israeli society.
(f)In fulfilling its functions as set out in this section, the Israeli Broadcasting Corporation shall act –
(1)to broaden education and knowledge;
(2)to promote culture, original quality Israeli creation, and Israeli music;
(3)to promote innovation in the field of broadcast content and its distribution and in broadcasting technologies;
(4)to cultivate and promote the Hebrew language.

Broadcasts – Public Service§

8.

The Israeli Broadcasting Corporation shall carry on the broadcasts as a public service.

Chapter III: Council of the Israeli Broadcasting Corporation

Council of the Israeli Broadcasting Corporation§

9.
(a)The Minister shall appoint for the Israeli Broadcasting Corporation a Council of 12 members, including at least six women and at least one member from the Arab population, including the Druze and Circassian populations, on the recommendation of the Search Committee as set out in section 31, and they are:
(1)the Chairperson of the Council, who holds an academic degree and also has at least five years of experience in one of the following, or cumulative experience of at least five years in both of the following:
(a)a senior position in the field of business management of a corporation with a significant scale of business;
(b)a senior managerial position in a significant organisation with standing in the field of communications;
(2)a public representative with at least five years of experience in a managerial position in a body engaged in broadcasting, in a newspaper or in a news website;
(3)a public representative with significant experience in the field of print or broadcast journalism or in news websites, including in content editing;
(4)two public representatives with significant experience in the field of television, cinematic or musical creation;
(5)a public representative with significant technological experience in a field related to the activities of the Israeli Broadcasting Corporation;
(6)a public representative with significant experience in financial management in bodies with a significant scale of business;
(7)a public representative with accounting and financial expertise as its meaning under section 240 of the Companies Law;
(8)a public representative who is a jurist with significant experience in the field of regulation;
(9)two public representatives with significant experience in the field of education or of broadcasting for children and youth;
(10)a public representative with standing in the field of the heritage of Israel.
(b)The provisions of section 60a of the Government Companies Law shall apply to the appointment of a member of the Council, including the Chairperson of the Council, with the following modifications:
(1)instead of the provisions of sections 16a and 24(c) of that Law, the provisions of subsection (a) shall apply;
(2)a person who has been convicted of an offence that, by reason of its nature, gravity or circumstances, renders him unfit to serve as a member of the Council, or against whom an indictment has been filed for such an offence and a final judgment has not yet been given in his matter, shall not be appointed to the Council, and the provisions of section 17(a)(5) of the Government Companies Law shall not apply.
(c)Members of the Council shall have the same status as State employees for the purposes of the enactments listed in section 56(1) to (6).

Prohibition of Affiliation – Member of the Council§

10.

A person who has a personal or business affiliation with any Minister of the Government, a person engaged in political activity or party activity, or a person who was engaged in political activity or party activity in the five years preceding the date of submission of candidacy, shall not be appointed as a member of the Council and shall not serve thereon; for this purpose, participation in a demonstration or in a gathering of a political character, or the public expression of a position on political matters, shall not, in themselves, be regarded as political activity.

Functions of the Council§

11.

The functions of the Council are:

(1)to determine the policy of the Israeli Broadcasting Corporation, including the overall broadcasting policy, for the purpose of fulfilling the functions of the Israeli Broadcasting Corporation as set out in section 7 and in accordance with its approved budget, provided that the Council shall not change the number of television channels except with the approval of the Minister and subject to the provisions of section 63(b), and shall not add radio broadcasting networks except with the approval of the Minister;
(2)to supervise the implementation of the policy it has determined under paragraph (1);
(3)to approve broadcasting schedules, having regard to the expenditure components as set out in section 64;
(4)to appoint the Director General in accordance with the provisions of section 38 and to supervise his actions;
(5)to approve the organisational structure of the Israeli Broadcasting Corporation, the employment policy for employees, and also the staffing ceiling of the Corporation after the required approval has been given under section 81(a);
(6)to deliberate on and approve the annual budget proposal of the Israeli Broadcasting Corporation prepared by the Director General under section 43(3), no later than 30 days before the end of the financial year, after satisfying itself that the proposed budget is balanced;
(7)to deliberate on the annual work plan submitted to it by the Director General under section 43(4), including the annual targets of the Israeli Broadcasting Corporation, to examine its compatibility with the annual budget proposal submitted to it under paragraph (6), and to approve the said plan;
(8)to supervise the Israeli Broadcasting Corporation's compliance with the targets of the approved annual budget and its implementation;
(9)to be responsible for the preparation and approval of the financial statements, including to deliberate on the remarks of the auditor appointed under section 49 with regard to the financial statements, and also to deliberate, after approval of the financial statements, on any matter in respect of which the auditor qualified, remarked or refrained from expressing an opinion;
(10)to determine categories of transactions of a certain type or with a certain budgetary scope that the Director General or a person on his behalf is authorised to enter into on behalf of the Israeli Broadcasting Corporation, together with a person that the Council shall determine for this purpose, and also to determine categories of transactions of a certain type or with a budgetary scope above the amount it shall determine that require its approval, and to deliberate on the approval of such transactions;
(11)to deliberate on the activity report submitted to it by the Director General under section 43(5) and on the annual report submitted to it by the internal auditor under section 51(b)(2), and to approve the work plan transmitted to it by the Audit Committee under section 22(b)(3), together with its proposals and recommendations, with such modifications as it sees fit;
(12)to establish ethics rules for public broadcasting;
(13)to set measurable targets for the examination of the performance of employees of the Israeli Broadcasting Corporation who hold a managerial position, as it shall decide;
(14)to perform any other function imposed upon it under this Law.

Residual Power of the Council§

12.

A power of the Israeli Broadcasting Corporation that has not been vested under this Law in another organ of the Israeli Broadcasting Corporation may be exercised by the Council.

Financial Statements and Reports on the Activities of the Israeli Broadcasting Corporation§

13.
(a)The Chairperson of the Council shall submit to the Minister, no later than 31 March of each year, the financial statements referred to in section 11(9) in respect of the preceding year, as well as a report on the activities of the Israeli Broadcasting Corporation; the activity report shall set out, inter alia, the targets determined by the Council, the Israeli Broadcasting Corporation's compliance with those targets and its compliance with the expenditure components as set out in section 64, as well as a list of the parties with whom the Israeli Broadcasting Corporation has contracted for the purpose of purchasing purchased local productions and the proportion of the annual amount paid to each such party out of the total annual expenditure amount, as set out in section 64(b).
(b)If the Minister has reasonable grounds to assume that the financial statements submitted to him under this section do not reflect the conduct of the Israeli Broadcasting Corporation, he may refer those statements for examination by the Government Companies Authority; the Government Companies Authority shall examine the statements referred to it under this subsection and shall submit its remarks thereon to the Israeli Broadcasting Corporation and to the Minister, and for this purpose it shall have the powers set out in section 55 of the Government Companies Law.
(c)The Minister may require the Israeli Broadcasting Corporation to prepare an additional report and to determine the date for its submission.
(d)The Israeli Broadcasting Corporation shall publish the reports referred to in this section on its website and in any other manner it sees fit, and shall provide a copy to any person who so requests.
(e)The provisions of sections 33a to 33c of the Government Companies Law shall apply to the Israeli Broadcasting Corporation, with the necessary modifications and with this modification: instead of "the Minister of Finance, in consultation with the Minister of Justice" there shall be read "the Minister, in consultation with the Minister of Finance".

Term of Office of a Member of the Council§

14.

A member of the Council shall be appointed for a period of four years; however, the Minister, on the recommendation of the Search Committee or on its proposal, may extend his term of office for one additional term of office.

Cessation of Office and Suspension of a Member of the Council§

15.
(a)A member of the Council shall cease to serve before the end of his term of office in any of the following:
(1)he resigned by delivering a letter of resignation to the Minister;
(2)the Minister is satisfied that he is permanently incapacitated from fulfilling his function; upon being so satisfied, the Minister shall remove the member of the Council from office by written notice;
(3)he is not properly fulfilling his function, and the Minister, with the consent of the Search Committee by a majority of its members one of whom is the Chairperson of the Committee, has removed him from office by a reasoned written notice;
(4)the Minister is satisfied that he has been absent, without reasonable cause, from three consecutive meetings of the Council or from more than half of the meetings held during one year; the Chairperson of the Council shall report to the Minister on a member of the Council who has been absent from its meetings as aforesaid; upon being so satisfied, the Minister shall remove the member of the Council from office by written notice;
(5)the Minister has found that one of the circumstances that disqualify a person, under any law, from serving as a member of the Council has occurred in his case;
(6)he has been convicted of an offence that, by reason of its nature, gravity or circumstances, renders him unfit to serve as a member of the Council.
(b)If an indictment has been filed against the Chairperson of the Council or a member of the Council for an offence as referred to in subsection (a)(6), the Minister may suspend him from office until a final judgment is given in his matter.
(c)If a member of the Council has ceased to serve, the Minister shall act to appoint another member in his place in accordance with the provisions of section 9, as soon as possible.

Appointment of an Acting Substitute§

16.
(a)If the position of the Chairperson of the Council has become vacant and another person has not yet been appointed in his place, the Minister shall appoint, as soon as possible, an acting substitute from among the members of the Council for a period not exceeding six months.
(b)
(1)If the Chairperson of the Council is temporarily incapacitated from fulfilling his function, the Minister shall appoint, as soon as possible, an acting substitute from among the members of the Council for a period not exceeding six months;
(2)If the Minister is satisfied that the Chairperson of the Council or a member of the Council is temporarily incapacitated from fulfilling his function for a period that lasts or is likely to last more than six months, the Minister may appoint an acting substitute for him in accordance with the provisions of section 9.
(c)
(1)If the Chairperson of the Council has been suspended as referred to in section 15(b), the Minister shall appoint, as soon as possible, an acting substitute from among the members of the Council for the duration of the suspension period;
(2)If the Minister is satisfied that the suspension period of the Chairperson of the Council or a member of the Council lasts or is likely to last for a period exceeding six months, the Minister may appoint an acting substitute for him in accordance with the provisions of section 9.

Publication Regarding Appointment and Cessation of Office§

17.

The Israeli Broadcasting Corporation shall publish in Reshumot (Official Gazette) and on its website a notice regarding the appointment or cessation of office of a member of the Council.

Validity of Actions of the Council§

18.

The existence of the Council, its powers and the validity of its actions shall not be affected by reason of a vacancy in the place of a member thereon, or by reason of a defect in the appointment or continuation of service of a member, provided that a majority of its members are lawfully serving.

Meetings of the Council§

19.
(a)Meetings of the Council shall be held according to the needs of the Israeli Broadcasting Corporation and at least once a month.
(b)The quorum for meetings of the Council is a majority of its serving members.
(c)The Chairperson of the Council shall convene its meetings and shall determine their dates and their agenda; one third of the serving members of the Council may request the Chairperson of the Council to convene a meeting or to place a matter on the agenda; if such a request is submitted, the Chairperson of the Council shall convene a meeting within 14 days from the date of submission of the request.
(d)The Council shall invite the Director General and any person whom it or the Director General considers necessary for the deliberation, to every meeting that deals with the approval of broadcasting schedules under section 11(3), as well as to other meetings that the Council sees fit.
(e)The legal adviser of the Israeli Broadcasting Corporation shall be invited to all meetings of the Council and shall be entitled to participate in them.

Procedures for the Work of the Council§

20.
(a)
(1)Decisions of the Council shall be adopted by a majority of the votes of the members of the Council participating in the meeting; if the votes are equal, the position of the Chairperson of the Council shall be decisive, if he participated in the meeting;
(2)Notwithstanding the provisions of paragraph (1), decisions of the Council on the matters listed in section 11(3) and (6), and on the appointment of the Director General as referred to in section 11(4) or his removal from office, shall be adopted by a majority of the serving members of the Council.
(b)The Council shall keep minutes of its deliberations.
(c)The decisions of the Council shall be made available for public inspection, inter alia on the website of the Israeli Broadcasting Corporation, subject to the exceptions under section 9 of the Freedom of Information Law, 5758-1998.
(d)The Council shall determine its own rules of procedure and deliberation procedures, insofar as these have not been determined under this Law.

Sub-Committees§

21.
(a)The Council may, for the purpose of performing its functions, appoint from among its members sub-committees for any matter it sees fit, determine their functions and delegate to them its powers under this Law, except for the following powers:
(1)laying down rules;
(2)appointing, suspending or removing the Director General;
(3)approving the budget;
(4)approving the financial statements;
(5)approving the broadcast schedules;
(6)deliberating on the internal auditor's report and on the audit committee's reports;
(7)changing the number of broadcast channels or broadcast networks.
(b)A sub-committee shall have at least three members.
(c)The provisions of section 19, except for the concluding part of subsection (a), and section 20, except for subsection (a)(2), shall apply to a sub-committee, with the necessary modifications, and with this modification: in section 19(c), instead of "one third" there shall come "a majority".

Audit Committee§

22.
(a)The Council shall appoint from among its members an audit committee whose number of members shall not be less than three, provided that one of them is a person with accounting and financial expertise appointed under section 9(a)(7) and one of them is a jurist appointed under section 9(a)(8); the Chairperson of the Council shall not be a member of the audit committee.
(b)The audit committee shall –
(1)identify deficiencies in the management of the Israeli Broadcasting Corporation, inter alia through consultation with the internal auditor of the Israeli Broadcasting Corporation or with the auditor, and propose to the Council ways of rectifying them; if the audit committee finds a deficiency as aforesaid that is a material deficiency, it shall hold at least one meeting concerning the deficiency in question, in the presence of the internal auditor or the auditor, as the case may be, and without the presence of office holders in the Israeli Broadcasting Corporation who are not members of the Council; notwithstanding the foregoing, an office holder who is not a member of the Council may be present for the purpose of presenting a position on a matter within the areas of his or her expertise;
(2)examine the internal audit system of the Israeli Broadcasting Corporation and the functioning of the internal auditor, and also whether the resources and tools necessary for the performance of his or her function are at his or her disposal, having regard, inter alia, to the special needs of the Israeli Broadcasting Corporation and its size;
(3)examine the internal auditor's work plan submitted to it under section 51(b)(3) and transmit it for the approval of the Council together with its comments and recommendations;
(4)deliberate on the internal auditor's report and on the State Comptroller's reports;
(5)determine arrangements regarding the manner of handling complaints by employees of the Israeli Broadcasting Corporation in connection with deficiencies in its management and regarding the protection to be afforded to employees who have made such complaints; such arrangements shall be published on the website of the Israeli Broadcasting Corporation;
(6)deliberate on the public complaints commissioner's report published under section 62(h), within 30 days from the date of publication of that report.
(c)The chairperson of the audit committee shall convene the audit committee for deliberation on matters placed on its agenda by him or her or by another committee member, or by the Council, the Director General or the internal auditor.
(d)The provisions of section 19(a) to (c) and section 20, except for subsection (a)(2), shall apply to meetings of the audit committee, with the necessary modifications, and with these modifications: in section 19, in subsection (a), instead of "once a month" there shall come "once a quarter" and in subsection (c), instead of "one third" there shall come "a majority".
(e)A person who is not a member of the audit committee shall not be present at meetings of the committee during deliberation and during the adoption of the committee's decisions, unless the chairperson of the committee or the committee has determined that he or she is required for the purpose of presenting a particular matter or for the purpose of the proper conduct of the meeting.
(f)Notwithstanding the provisions of subsection (e), the internal auditor and the legal adviser of the Israeli Broadcasting Corporation shall receive notices of the convening of audit committee meetings and shall be entitled to participate therein.
(g)Notice of the convening of an audit committee meeting at which a matter relating to the audit of the financial statements is raised shall be delivered to the auditor and the auditor shall participate therein.
(h)The audit committee shall submit to the Council and to the Director General, no later than 1 March of each year, a report on its activities in the preceding year, which shall include its findings and conclusions with respect to the audit reports it deliberated upon, and it may submit additional reports during the year.

Remuneration and Reimbursement of Expenses§

23.

The Minister of Finance, in consultation with the Minister, shall lay down rules and conditions according to which the Israeli Broadcasting Corporation shall pay remuneration or reimbursement of expenses to a member of the Council, and the rates thereof.

Independent Discretion§

24.
(a)A member of the Council shall exercise independent discretion when voting in the Council, and shall not be a party to a voting agreement; failure to exercise independent discretion as aforesaid or voting pursuant to a voting agreement shall be deemed a breach of fiduciary duty.
(b)No person shall perform any of the functions of a member of the Council unless duly appointed to the position of member of the Council, and no person shall impair the independent discretion of a member of the Council.
(c)Without derogating from the provisions of any law, the duties and liability applicable to members of the Council under any law shall apply to a person who has contravened the provisions of subsection (b).

Right to Receive Information§

25.

A member of the Council may inspect the documents and records of the Israeli Broadcasting Corporation and obtain copies thereof within a reasonable time, and may also inspect the assets and liabilities of the Israeli Broadcasting Corporation, insofar as this is required for the performance of his or her duties as a member of the Council; the transfer of documents and records and the inspection of assets and liabilities under this section shall be carried out through the Director General.

Conflict of Interests§

26.
(a)A member of the Council who knows that he or she is connected or may be connected, directly or indirectly, personally or through his or her relative, agent or partner, to a transaction or matter to be deliberated upon by the Council or by a committee thereof, shall notify the Council thereof in writing, immediately upon becoming aware that the said transaction or matter is to be deliberated upon; the member of the Council shall not be present at the deliberations of the Council or the committee on that transaction or matter, shall not participate in a decision relating to or connected with them, and shall not deal with them in the course of his or her function outside meetings of the Council or the committee.
(b)A member of the Council, his or her relative, agent, partner or a corporation in which any of the foregoing is an interested party or a manager, shall not enter into a transaction with the Israeli Broadcasting Corporation and shall not be employed by the Israeli Broadcasting Corporation.

Prohibition on Participation of a Council Member in Broadcasts§

27.

A member of the Council shall not participate in broadcasts.

Dissolution of the Council§

28.
(a)If the Minister is convinced that the Council is not performing the functions and duties imposed upon it under this Law, including as detailed below, such that the conduct of the Israeli Broadcasting Corporation is impaired in a clear and highly significant manner, he or she may apply to the Government in a written request, so that the Government shall warn the Council by a written reasoned notice that if within a period it has set the Council does not fulfil its duties, the Government will dissolve it:
(1)the Council did not submit a balanced annual budget proposal in accordance with section 22 of the Budget Foundations Law;
(2)the Council did not hold meetings at the frequency prescribed under section 19(a);
(3)the Council did not perform its functions with respect to the fulfilment of the obligations of the Israeli Broadcasting Corporation under section 64.
(b)If the Council did not fulfil its duties as set out in subsection (a) within the period set by the Government in its warning, the Government may order its dissolution.
(c)The Minister shall appoint, within 60 days from the date of dissolution of the Council under subsection (b), a new council, in accordance with the provisions of section 9.
(d)A dissolved council shall continue to serve as a temporary council until the appointment of the new council; a temporary council shall refrain as far as possible from adopting significant decisions that are not required for the routine and proper functioning of the Israeli Broadcasting Corporation.
