Chapter IX: Application of the Ordinance to Foreign Partnerships

Definitions§

74.

In this Chapter —

"foreign partnership" means a partnership established outside Israel;

"carrying on business" means opening a place of business in Israel, whether directly or through an agent.

Obligation of Registration§

75.
(a)A foreign partnership shall not carry on business in Israel unless it has been registered in Israel, and if it is a limited partnership — the registration requires a permit from the Minister of Justice.
(b)A partnership carrying on business in Israel in contravention of the provisions of this section shall be liable to a fine of 3,750 liras.

Methods of Registration§

76.

Registration of a foreign partnership that is not already registered shall be effected by sending a notice to the Registrar by post, or by delivering it to him, signed by the partnership and containing the following particulars:

(1)the name of the partnership;
(2)the general nature of the business;
(3)the full name, address, description and nationality of each of its partners;
(4)the names of the partners authorised to manage the affairs of the partnership and to sign on its behalf, unless all of them are so authorised;
(5)the duration of the partnership, if a period has been fixed for it, and the date of its commencement;
(6)the name and address of a resident of Israel authorised to receive on behalf of the partnership process and notices that are to be served on the partnership;
(7)in the case of a limited partnership, also a notice that the partnership is limited and particulars of every limited partner, the amount contributed by that partner and whether it was paid in cash or otherwise, and whether it was paid in full.

Foreign Limited Partnership§

77.
(a)The Registrar shall submit a notice of a limited partnership to the Minister of Justice, who may, in his absolute discretion, permit the registration of the partnership in Israel or refuse.
(b)Where the Minister of Justice has permitted the registration, the Registrar shall notify the partnership accordingly, and thereafter the partnership shall be entitled to commence its business.

Registration of Changes§

78.
(a)A foreign partnership that is registered and carries on business in Israel, in which a change has occurred in any matter in respect of which it is required to register particulars under this Chapter, shall send by post to the Registrar, or deliver to him, within 14 days of the date of the change, a notice signed by it setting out the nature of the change.
(b)If this Section is contravened, every partner, other than a limited partner, shall be liable to a fine of 15 liras for each day on which the offence continued.

Service§

79.

Process or a notice that is to be served on a registered foreign partnership shall be duly served if it bears the name of the person recorded in the file as authorised to receive notices on behalf of the partnership and if it is left, or sent by post, at the address recorded in the file.

Chapter X: Miscellaneous

Precedence over the Mejelle§

80.

In relation to every partnership that is registered or required to be registered under this Ordinance, the provisions thereof shall take precedence over the provisions of the Mejelle.

Commencement§

81.

This version shall come into force on the 1st day of Elul 5735 (8 August 1975).
